End User License Agreement

This End User License Agreement (the "EULA") is a binding agreement between you and Tunemind, Ltd., a company registered in the Commercial Register at the Bulgarian Registry Agency with UIC 207152429, having its registered seat at Bul. Vitosha No. 1, fl. 3, Sofia 1000, Bulgaria ("Tunemind", "Seelo", "we", "us", or "our"). It governs your installation and use of the Seelo mobile application (the "App").

The App is licensed, not sold, to you. This EULA applies in addition to our Terms of Use and Privacy Policy. If there is a conflict between this EULA and the Terms of Use regarding your use of the App, this EULA prevails for the App.

1. Licence grant

Subject to your compliance with this EULA, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to download, install, and use the App for your personal, non-commercial purposes on any mobile device that you own or control, as permitted by the usage rules of the app store from which you obtained the App (the "App Store").

2. Restrictions

You must not, except to the extent permitted by applicable law:

• copy, modify, or create derivative works of the App;
• distribute, transfer, sublicense, lease, lend, rent, or sell the App to any third party;
• reverse-engineer, decompile, or disassemble the App, or attempt to derive its source code;
• remove, alter, or obscure any proprietary notices in the App; or
• use the App in any way that breaches our Terms of Use or any applicable law.

3. Maintenance and support

Tunemind is solely responsible for providing any maintenance and support services for the App, to the extent we choose to provide them. We are under no obligation to provide maintenance or support. The App Store provider has no obligation whatsoever to furnish any maintenance or support services with respect to the App.

4. Warranty

The App is provided "as is" and "as available" without warranty of any kind, to the maximum extent permitted by applicable law. In the event of any failure of the App to conform to any applicable warranty, you may notify the App Store provider, and where you obtained the App through the Apple App Store, Apple may refund the purchase price (if any) to you. To the maximum extent permitted by applicable law, the App Store provider will have no other warranty obligation whatsoever with respect to the App. Any other claims, losses, liabilities, damages, costs, or expenses attributable to a failure to conform to any warranty are our responsibility, not the App Store provider's.

Nothing in this EULA affects any mandatory statutory rights you have as a consumer that cannot be excluded or limited under applicable law.

5. Product claims

Tunemind, not the App Store provider, is responsible for addressing any claims by you or any third party relating to the App or your possession and use of it, including: (a) product liability claims; (b) any claim that the App fails to conform to any applicable legal or regulatory requirement; and (c) claims arising under consumer protection, privacy, or similar legislation.

6. Intellectual property

In the event of any third-party claim that the App, or your possession and use of the App, infringes that third party's intellectual property rights, Tunemind, not the App Store provider, will be solely responsible for the investigation, defence, settlement, and discharge of any such claim.

7. Legal compliance

You represent and warrant that: (a) you are not located in a country that is subject to a government embargo, or that has been designated by the relevant government as a "terrorist-supporting" country; and (b) you are not listed on any government list of prohibited or restricted parties.

8. Third-party terms

You must comply with any applicable third-party terms of agreement when using the App (for example, your wireless data service agreement).

9. Third-party beneficiary

You acknowledge and agree that the App Store provider, and its subsidiaries, are third-party beneficiaries of this EULA, and that, upon your acceptance of this EULA, the App Store provider will have the right (and will be deemed to have accepted the right) to enforce this EULA against you as a third-party beneficiary of it.

10. Governing law

This EULA is governed by the laws of the Republic of Bulgaria and the applicable laws of the European Union, without regard to conflict-of-laws principles, and is subject to the governing-law and jurisdiction provisions of our Terms of Use.
